Energy Bird – Loyalty Program Terms and Conditions

These Loyalty Program Terms and Conditions (the “Loyalty T&C”) govern the Energy Club loyalty program (the “Program”) operated by Cogent International Manufacturing Inc. (the “Company”, “we”, “us”, or “our”) through the Energy Bird website (the “Site”).

These Loyalty T&C form an integral part of and shall be construed in conjunction with the Terms of Use (“ToU”). All capitalized terms used herein shall have the meanings ascribed to them in the ToU, unless otherwise expressly defined. In the event of any inconsistency or conflict between these Loyalty T&C and the ToU, the provisions of the ToU shall prevail to the extent of such inconsistency.

1. Program Overview

Participation in the Program is voluntary and subject to the terms set forth herein. By enrolling in the Program, participants acknowledge and agree to be bound by these Loyalty T&C. If you do not agree or cannot comply with these Loyalty T&C then you are not permitted to participate

2. Eligibility, Registration, Rules and Restrictions

Eligibility. A valid Energy Bird account is required for enrollment. Enrollment occurs upon account creation and explicit acceptance of these C and of the ToU.

  • Registration. Registration is available via the Site, at the following address: ebergybird.com. It is necessary to provide all required mandatory information in an accurate and complete manner and keep this information up-to-date. If any of the mandatory fields in the application form (such as, for example, age, smoker status, email address and/or phone number) are not completed, the application will not be processed. If inaccurate or incomplete information are provided, we reserve the right to terminate the membership of the Program without notice.

Rules and Restrictions. Each participant may obtain and maintain only one (1) Program account. Membership of the Program and relevant benefits are personal and may not be transferred to any third party. The Company reserves the right to suspend or terminate accounts in cases of suspected fraud, abuse, or violation of these Loyalty T&C. Points are non-transferable and may not be sold or exchanged.

3. Tier Structure

The Program comprises four (4) progressive tiers, each offering increasing benefits and rewards as follows:

 

Hatchling (Entry Level)
  • $1 spent = 1 point earned (1x multiplier)
  • Free Shipping on orders $50+

 

Nestling (2,500 points threshold)
  • $1 spent = 1.2 points earned (1.2x multiplier)
  • Early Notification of new products
  • Free shipping on all orders
  • Entry Reward: 125 points

 

Fledgling (7,500 points threshold)
  • $1 spent = 1.5 points earned (1.5x multiplier)
  • All Nestling benefits
  • Priority customer service
  • Invitation to exclusive events
  • Entry Reward: 200 points

 

Soaring (17,500 points threshold)
  • $1 spent = 1.7 points earned (1.7x multiplier)
  • All Fledgling benefits
  • Custom member merchandise (apparel, accessories)
  • Entry Reward: 375 points

 

Tier advancement is based on specific qualifying activities. Tier status is reviewed annually, and participants must meet the applicable criteria to maintain their status. Subscribers with active subscriptions may benefit from automatic tier maintenance.

Any benefits offered under the Program remain the property of the Company until redeemed in accordance with these Loyalty T&C. Risk in benefits passes to relevant Participant upon redemption.

4. Points Accrual, Redemption and Expiration

Overview. Participants earn points through qualifying purchases and activities. Points earned on items purchased are earned only on completed and paid orders and will be adjusted in the event of returns or cancellations.

Standard Purchases and Subscriptions. Standard purchases accrue points at a base rate, while subscription purchases accrue points at an enhanced rate.

Subscribers may benefit from extended point validity, maintain or advance their tier status through subscription activity. Subscription pauses of up to ninety (90) days shall not affect tier status.

Additional points. Additional points may be earned through different activities, including but not limited to profile completion, referrals and survey participation.

Point redemption. Points may be redeemed for discounts on future purchases, subject to minimum redemption thresholds and applicable restrictions.

Point expiration. Points expire twelve (12) months from the date of accrual, unless extended by active subscription status.

5. Participant’s obligations.

Any participant to the Program hereby agrees:

  • Not to misuse the Program, including its benefits;
  • Not to obtain any benefits by fraud;
  • To keep his/her membership account, including its password, safe and secure;
  • To comply with applicable law; and
  • To comply with these Loyalty T&C at any time.

6. Termination and Opt-Out

The membership term in the Program begins on the date of enrollment and continues until terminated in accordance with these Loyalty T&C. Membership may be terminated for any reason with thirty (30) days’ notice. However, we reserve the right to terminate membership at any time with immediate effect in the event of a breach of these Loyalty T&C.

Upon termination of membership any unused benefits are automatically cancelled and all membership data are permanently deleted from our internal systems.

Unsubscribing from Program relevant communications can be done at any time by opting out of marketing communications by directly clicking on the link made available in that communication, or via the profile section. Once unsubscribed, communications related to the Program will no longer be received.

7. Representations, Tax Implications, Limitation of Liability

Representations and Tax Implications. Membership of the Program is free of charge and it is provided ‘As Is’ and without any warranty. We make no representations as to any income, use, excise or other tax liability you may incur as a result of your membership. Participants are the solely subject responsible for any tax obligations arising from their participation in the Program. Point redemptions may constitute taxable benefits under applicable Canadian tax laws. The Company may issue tax reporting documentation where required by law.

Limitation of Liability. The Company shall not be liable to the maximum extent permitted under applicable law whether in tort (including for negligence or breach of statutory duty), contract, misrepresentation, restitution or otherwise for any direct losses, loss of profits, sales, revenues or savings, loss of business, depletion of goodwill and/or similar losses or loss or corruption of data or information, or pure economic loss, or for any special, indirect or consequential loss, costs, damages, charges or expenses however arising or otherwise resulting from the Program, participation to/exclusion from the Program, or use of any benefits related to the Program. The Company shall not be liable for any of the losses described in this paragraph even if you have informed us of the possibility of such losses. Nothing in this paragraph excludes any liability that cannot be excluded by applicable law.

8. Data Privacy

We will receive, store, and otherwise process your personal information in connection with administering the Program and the relevant participation in it. 9. Modifications and Miscellaneous

The Company reserves the right, at its sole and absolute discretion, to modify, suspend, or terminate the Program, or any feature or benefit thereof, at any time and without prior notice. The modification, suspension, or termination of the program shall not give rise to any claim, compensation, or remedy against the Company, whether in contract, tort, or otherwise.

Participation in the program does not confer upon any customer any vested rights or entitlements. No provision herein shall be construed as creating any contractual obligation on the part of the Company to continue the program or any of its benefits. Failure to enforce these Loyalty T&C shall not constitute a waiver of these Loyalty T&C, or any of its provision.

The Company is not responsible for any incorrect or inaccurate information supplied in relation to the Program, nor for any lost or misdirected communications regarding the Program, unless they were provided by us.
