1. Scope and Applicability
This Shipping Policy (“Shipping Policy”) governs the terms under which Cogent International Manufacturing Inc. (“Company”, “we”, “us”, or “our”) processes and fulfills orders placed through the Energy Bird website (“Site”). This Shipping Policy forms an integral part of the Terms of Use (“ToU”) and is to be read in conjunction with the Cancellation, Return and Refund Policy (“CRRP”).
All capitalized terms used herein shall have the meanings ascribed to them in the ToU, unless otherwise expressly defined. In the event of any inconsistency or conflict between this Policy and the ToU, the provisions of the ToU shall prevail to the extent of such inconsistency.
2. Shipping Territory
We ship exclusively within Canada. Orders placed for delivery outside of Canada will not be processed. The Company does not offer international shipping. Orders placed with a non-Canadian delivery address will be automatically cancelled and refunded.
3. Order Processing and Dispatch
Order Confirmation. Upon successful placement of an order, you will receive an order confirmation via email. This confirmation does not constitute acceptance of the order, which occurs only upon dispatch.
Dispatch Timeline. Orders are typically processed and dispatched within two (2) business days, excluding weekends and statutory holidays. Dispatch times may vary based on product availability, order volume, and other operational considerations.
Carrier and Tracking. We partner with reputable national carriers. Once your order is dispatched, you will receive a shipping confirmation email containing a tracking number and link to monitor delivery status.
4. Delivery
Estimated Delivery Time. Estimated delivery times range from two (2) to six (6) business days from the date of dispatch, depending on the destination within Canada. All delivery timelines provided are estimates only and do not constitute a contractual obligation. The Company disclaims any liability for delays that do not result from its gross negligence or willful misconduct.
Delivery Address Accuracy. You are solely responsible for providing accurate and complete shipping information. The Company shall not be liable for delays, misdeliveries, or losses resulting from incorrect or incomplete address details.
Risk of Loss. To the full extent permitted by law, title and risk of loss for all products shall pass to the customer upon the Company’s delivery of the products to the designated carrier. Thereafter, the Company shall bear no responsibility for loss, damage, or delay.
5. Delivery Exceptions and Delays
Force Majeure. The Company shall not be liable for any delay or failure in delivery due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, labor disputes, governmental actions, pandemics, transportation disruptions, or other events of superior force beyond the Company’s reasonable control.
Shipping Discrepancies. If your order is delayed, incomplete, or incorrect, you must notify us at [Insert Contact Email] within twenty-four (24) hours of delivery. We will investigate and, where appropriate, arrange for redelivery, replacement, or refund in accordance with the CRRP.
6. Packaging and Handling
All products are shipped in sealed packaging to ensure integrity and protection during transit. If you receive a package that appears tampered with or damaged, you are advised to refuse delivery and notify us immediately.
7. Undeliverable Packages
If a package is returned to the Company due to an incorrect address, refusal of delivery, or failure to collect, the customer shall be responsible for any reshipping fees. Refunds, if applicable, shall be issued net of original shipping costs.
8. Shipping Fees
Shipping fees are calculated at checkout based on the delivery address and selected shipping method. All fees are quoted in Canadian Dollars (CAD) and are inclusive of applicable taxes unless otherwise stated.

Energy Bird – Cancellation, Return and Refund Policy

1. Scope and Applicability
This Cancellation, Return and Refund Policy (“CRRP”) governs the terms under which Cogent International Manufacturing Inc. (“Company”, “we”, “us”, or “our”) accepts cancellations, processes returns, and issues refunds for products purchased through the Energy Bird website (“Site”).
By placing an order, you acknowledge and agree to be bound by the terms of this CRRP. If you do not agree with the terms herein, you must refrain from making any purchases through the Site.
This CRRP forms an integral part of the Terms of Use (“ToU”) and shall be construed in conjunction therewith. All capitalized terms and definitions used in this CRRP shall have the meanings ascribed to them in the ToU, unless otherwise expressly defined herein. In the event of conflict between this CRRP and the ToU, the provisions of the ToU shall prevail.
2. Cancellation of Orders
Pre-Dispatch Cancellation. Orders may be cancelled by the customer at any time prior to dispatch. Cancellation requests must be submitted via the Site’s designated contact form or by email to [***]. Upon receipt of a valid cancellation request, the Company shall process the cancellation and initiate a refund in accordance with Section 4 below.
Post-Dispatch Cancellation. Orders that have already been dispatched are not eligible for cancellation. Customers may refuse delivery at the time of receipt; however, acceptance of delivery shall constitute final sale, and no cancellation or return shall be entertained thereafter
Company-Initiated Cancellation. To the full extent permitted by law, the Company reserves the right to cancel any order at its sole discretion, including but not limited to instances of product unavailability, pricing errors, or suspected fraudulent activity. In such cases, the customer shall be notified, and a full refund shall be issued.
3. Return of Products
Eligibility for Return. Returns shall be accepted only under the following conditions:
- The product received is materially defective or damaged.
- The product received is not the item ordered.
Return Conditions. To be eligible for a return, the product must:
- Be unused and in its original packaging.
- Be accompanied by proof of purchase.
- Be reported within forty-eight (48) hours of delivery.
Evidence Requirements. To process a return, the customer must provide:
- An unboxing video clearly showing the condition of the product upon opening.
- Photographs of the outer packaging (front and back) with the shipping label visible.
- Photographs of all items received.
Return Procedure. Return requests must be submitted via the Site’s designated contact form or by email to [***]. The Company reserves the right to reject any return that does not comply with the above conditions.
4. Refunds
Refund Method and Timeline. Refunds shall be exclusively processed to the original method of payment (e.g., credit card, debit card, bank account) within ten (10) business days following approval of the cancellation or return request.
Refund Amount. Refunds shall be issued for the actual amount paid by the customer, regardless of vouchers, discounts, etc. that may have been used at the time of purchase. In cases where promotional vouchers were used, such vouchers shall be reinstated only if the cancellation request is made within twenty-four (24) hours of order placement.
Non-Refundable Items. Products returned without adherence to the conditions set forth in Section 3 of this CRRP are non-refundable.
5. Third-Party Purchases
Products purchased through third-party platforms or resellers are subject to the return and refund policies of the respective seller. The Company shall not be liable for returns or refunds of such purchases. Customers are advised to contact the original point of sale for resolution.
8. Force Majeure
The Company shall not be liable for any failure or delay in performance under this CRRP due to causes beyond its reasonable control, including but not limited to acts of God, events of superior force, war, strikes, or governmental restrictions.
Energy Bird – Subscription Terms and Conditions

1. Scope and Applicability
These Subscription Terms and Conditions (“Subscription T&C”) govern the recurring delivery services offered by Cogent International Manufacturing Inc. (“Company”, “we”, “us”, or “our”) through the Energy Bird website (“Site”). These Subscription T&C form an integral part of the Terms of Use (“ToU”) and shall be construed in conjunction with such ToU, the Shipping Policy and the Cancellation, Return and Refund Policy (“CRRP”).
All capitalized terms used herein shall have the meanings ascribed to them in the ToU, unless otherwise expressly defined. In the event of any inconsistency or conflict between these Subscription T&C and the ToU, the provisions of the ToU shall prevail to the extent of such inconsistency.
2. Subscription Program Overview
Energy Bird’s subscription program enables customers to receive recurring deliveries of selected products at pre-defined intervals. Subscription benefits may include discounted pricing, free shipping, and access to exclusive offers, subject to the terms herein.
3. Subscription Options
Delivery Frequencies. Customers may select from the delivery intervals listed below and, on particular, every:
- Thirty (30) days;
- Sixty (60) days;
- Ninety (90) days.
Default frequency is thirty (30) days unless otherwise specified at checkout by consumer.
Product Eligibility. All products available on the Site may be eligible for subscription, unless provided otherwise. The Company reserves the right – at any time and at its sole discretion – to exclude certain products or bundles from subscription eligibility and to discontinue or substitute products at its sole discretion. In such cases, customers shall be notified in advance and may modify or cancel their subscription accordingly.
Minimum Quantity. Each subscription order must include a minimum of one (1) unit per product. The maximum quantity per product per delivery is ten (10) units.
4. Modification Deadlines
Subscription Changes. Customers may modify their subscription – including product selection, quantity, and delivery frequency – through their account dashboard. All changes must be submitted at least seventy-two (72) hours prior to the scheduled processing date.
Processing Schedule. Provided that payments have been successfully effected, subscription orders shall be processed seventy-two (72) hours in advance of the scheduled delivery date. Any modifications submitted after this processing window may not be reflected in the forthcoming shipment and shall be deemed applicable only to subsequent cycles.
5. Billing Cycle
Recurring Charges. Subscription charges are processed automatically using the payment method on file. The initial charge occurs upon subscription setup; subsequent charges are processed in accordance with the selected delivery frequency in accordance to the processing schedule set forth in Section 4 of these Subscription T&C.
Currency and Sale Taxes. All charges are denominated in Canadian Dollars (CAD) and are inclusive of applicable sale taxes unless otherwise stated.
Failed Payments. In the event that a payment attempt is unsuccessful, the Company shall be entitled to initiate up to two (2) additional reprocessing attempts within a period of three (3) consecutive calendar days. Should all such attempts fail, the associated subscription shall be suspended, and the corresponding order shall not be processed. No order shall be fulfilled unless and until payment has been successfully effected.
6. Cancellation and Refunds
Cancellation of subscription orders is governed by the CRRP.
Customers may cancel their subscription at any time without penalty. Cancellation requests must be submitted prior to the processing schedule described in Section 4 above to avoid fulfillment of the next scheduled shipment.

Subscription orders are fulfilled in accordance with the Shipping Policy.
8. Tiered Discount Structure
Discount Eligibility. Subscription orders shall benefit from a tiered discount structure based on the number of distinct products included in the active subscription at the time of processing. The applicable discount shall be calculated as follows:
- One (1) product: ten percent (10%) off regular price;
- Two (2) products: fifteen percent (15%) off regular price;
- Three (3) products: twenty percent (20%) off regular price;
- Four (4) products: twenty-five percent (25%) off regular price;
- Five (5) or more products: thirty percent (30%) off regular price.
Automatic Adjustment. The applicable discount tier shall be dynamically adjusted in real time based on the contents of the subscription and shall be reflected at checkout, prior to the calculation of applicable taxes.
9. Additional Subscriber Benefits
Free Shipping. All subscription orders shall be eligible for complimentary shipping, irrespective of order value.
Energy Club Points. Subscribers shall accrue thirty (30) Energy Club points per one (1) Canadian Dollar (CAD) spent, representing a threefold (3x) multiplier over the standard accrual rate.
Exclusive Offers. From time to time, the Company may, at its sole and absolute discretion, extend to subscribers certain promotional offers, early access to product launches, or other preferential benefits. Such offers shall be deemed gratuitous in nature and shall not constitute a contractual entitlement. No provision herein shall be construed as granting subscribers any vested right or legitimate expectation to receive such benefits, nor shall the absence, modification, or withdrawal thereof give rise to any claim or remedy against the Company.
10. Subscription Suspension
Pause and Reactivation. Subscribers may pause their subscription for a period not exceeding three (3) consecutive months. Pauses shall be submitted at least seventy-two (72) hours prior to the scheduled processing date of the relevant subscription. Subscriptions may be resumed at any time during the pause period via the customer’s account dashboard.
11. Right to Amend
The Company reserves the right to amend these Subscription Terms at any time, with or without prior notice, provided that such amendments shall not retroactively affect rights already accrued. Continued use of the subscription service following any such amendment shall constitute acceptance thereof.
